TANGGUNG JAWAB EMITEN TERHADAP KETERBUKAAN INFORMASI BERDASARKAN UNDANG-UNDANG PASAR MODAL
Abstract
Disclosure of information is one of the main principles in capital market activities aimed at providing legal protection to investors and creating a fair, orderly, and efficient securities trading system. Issuers as parties conducting public offerings have the responsibility to provide accurate, complete, and non-misleading information to the public. This study aims to determine the forms of issuer responsibility regarding information disclosure based on Capital Market Law and the legal consequences arising from violations of disclosure principles. The research method used is normative legal research with statutory and conceptual approaches. The results indicate that issuer responsibility regarding information disclosure is regulated under Law Number 8 of 1995 concerning Capital Market, which obligates issuers to submit periodic reports and material information to the public. Violations of disclosure principles may result in administrative, civil, and criminal sanctions. Proper implementation of disclosure principles can increase investor confidence in the capital market and provide legal certainty in investment activities.
